1. Acceptance of Terms
By accessing or using the services provided by GoodPay Gateways Private Limited ("GoodPay"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
2. Services
GoodPay provides the following services:
- Payment gateway integration and transaction processing
- UPI, card, net banking, and QR-based payment collection
- Merchant onboarding and settlement services
- Payroll processing, salary disbursement, and tax compliance
- API access for custom integrations
3. Eligibility
To use our services, you must be a legally registered business entity in India or an authorized individual representative. You must be at least 18 years of age and comply with all applicable Indian laws and regulations.
4. Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials
- You must provide accurate, complete, and up-to-date KYC information
- You must not use the services for any illegal or prohibited activities
- You are liable for all activity under your merchant account
5. Transaction Processing
GoodPay processes transactions as an intermediary between merchants and acquiring banks. Settlement timelines are subject to banking partner schedules. We reserve the right to hold, delay, or reverse transactions in cases of suspected fraud or policy violations.
6. Fees & Charges
Service fees, transaction charges, and settlement schedules are as agreed upon during merchant onboarding. GoodPay reserves the right to modify fee structures with 30 days advance notice. All fees are subject to applicable GST.
7. Prohibited Activities
You may not use GoodPay services for:
- Illegal goods or services
- Money laundering or terrorist financing
- Gambling (unless licensed)
- Fraudulent or deceptive transactions
- Violation of any RBI or SEBI regulations
8. Limitation of Liability
GoodPay shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid by you in the preceding 12 months.
9. Termination
Either party may terminate the agreement with 30 days written notice. GoodPay may immediately suspend or terminate accounts that violate these terms. Pending settlements will be processed upon termination, subject to applicable holdback periods.
10. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in New Delhi.
